Yes, a lawyer in Malaysia may act as a company secretary provided that they are a member of the Malaysian Bar and are registered with the Companies Commission of Malaysia (SSM) as a licensed company secretary under Section 235 of the Companies Act 2016. To qualify as a company secretary, an individual must either:
(1) be a member of a prescribed professional body such as MAICSA or MIA; or
(2) be a licensed individual under SSM, including lawyers registered with the Malaysian Bar who meet the statutory requirements.
The company secretary in Malaysia is tasked with the oversight of compliance with all laws and regulations, including filing annual returns, corporate records maintenance and board advising on governance matters for the company.
